Short answer: Before signing a franchise agreement, understand the complete investment, your operating duties, the franchisor's obligations, territory language, fees, renewal and exit terms. Read the current Franchise Disclosure Document and proposed agreements with qualified legal, accounting, tax and business advisers.
What should you ask about the investment?
Item 7 presents an estimated initial investment range, but your site and financing plan determine the working budget. Ask what each category covers, what can fall outside the estimate, when payments are due and how much working capital the plan assumes.
- Which costs are paid to the franchisor or an affiliate?
- Which estimates depend most on the site and market?
- What royalties, marketing contributions and technology fees continue after opening?
- What additional capital could the business need during ramp-up?
What should you ask about operations and support?
Separate the support described in the FDD and agreement from informal expectations. Ask how initial training, site review, opening preparation, suppliers, technology, marketing and ongoing operating guidance work. Confirm who must attend training and who will manage the restaurant.
- What does the franchisor provide before opening?
- Which standards are mandatory?
- How are approved suppliers and menu changes handled?
- What staffing and management responsibilities remain with the franchisee?
What should you ask about territory and the agreement?
Do not rely on a map, conversation or market page as a promise of exclusivity. Review the territory definition, protected rights, reservations, development schedule, transfer rules, defaults, renewal conditions and post-term obligations in the proposed agreements.
Speak with current and former franchisees listed in the FDD. Ask about training, opening, day-to-day operations, required systems, communication and the difference between their original plan and actual experience.
- Exactly how is the territory defined?
- Can other channels or brands serve customers in the area?
- What happens if development deadlines are missed?
- What are the transfer, renewal and termination conditions?
